Terms & Conditions
Last Updated: September 28, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the Daye Porcelain website, including any content, information, inquiry forms, downloadable materials, and other features made available through the website.
The website is operated by Guangdong Daye Ceramics Co., Ltd., trading as Daye Porcelain (“Daye Porcelain,” “we,” “us,” or “our”).
By accessing or using this website, submitting an inquiry, requesting a quotation, or communicating with us through the website, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the website.
1. About Daye Porcelain
Dayechina and Daye Porcelain are the official websites of Guangdong Daye Ceramic Co., Ltd.
Daye Porcelain is a ceramic manufacturing and product development company serving brands, importers, distributors, retailers, hospitality businesses, designers, and other commercial customers.
Our website provides general information about our company, manufacturing capabilities, product categories, materials, customization services, quality processes, and project experience.
Unless expressly stated otherwise, this website is intended primarily for business and commercial users rather than personal or household purchasing.
2. Website Information Only
The content on this website is provided for general business and informational purposes.
Website content does not constitute a binding quotation, product specification, production commitment, delivery guarantee, warranty, professional advice, or contractual offer.
A binding commercial agreement is created only when the relevant terms have been confirmed in writing by authorized representatives of Daye Porcelain and the customer through documents such as:
- A signed sales contract
- A written order confirmation
- An accepted quotation
- A pro forma invoice
- A purchase order accepted by Daye Porcelain
- Another written agreement signed or confirmed by both parties
3. Eligibility and Authority
By using this website on behalf of a company, organization, or other legal entity, you represent that you have the authority to act on behalf of that entity and to provide information relating to its business or project.
You must not submit false, misleading, unauthorized, or fraudulent information through the website.
4. Project Inquiries
You may use our website to ask about products, request information, discuss a manufacturing project, or request a quotation.
To evaluate an inquiry, we may request information such as:
- Product type and intended use
- Product dimensions, materials, colors, and finishes
- Estimated order quantity
- Target price or budget range
- Packaging requirements
- Logo, artwork, or branding requirements
- Required testing or quality standards
- Target market or destination country
- Requested delivery schedule
- Reference samples, photographs, drawings, or technical files
Submitting an inquiry does not require Daye Porcelain to accept the project, provide a quotation, manufacture the product, reserve production capacity, or enter into a commercial relationship.
We may decline an inquiry or project where the requirements are technically unsuitable, commercially unfeasible, unlawful, incomplete, inconsistent with our capabilities, or otherwise unacceptable to us.
5. Quotations
Unless otherwise stated in writing, quotations are prepared using the information available at the time and may be subject to clarification, revision, expiration, or withdrawal.
Prices may change if there are changes to:
- Product specifications
- Materials or glaze requirements
- Decoration or printing requirements
- Order quantities
- Packaging requirements
- Testing or certification requirements
- Exchange rates
- Energy or raw material costs
- Freight, insurance, customs, or logistics costs
- Taxes, duties, tariffs, or government charges
- Requested production or delivery schedules
Unless expressly stated otherwise, a quotation does not reserve materials, tooling capacity, factory capacity, shipping space, or a specific production schedule.
The validity period shown on the quotation will apply. If no validity period is shown, the quotation may be reviewed or withdrawn before an order is formally accepted.
6. Order Acceptance
A purchase order submitted by a customer is an offer to purchase and is not automatically accepted by Daye Porcelain.
An order becomes binding only after Daye Porcelain provides written acceptance, issues an order confirmation or pro forma invoice, receives any required deposit, and confirms the applicable commercial terms.
We may reject or request amendments to a purchase order that contains terms inconsistent with our quotation, order confirmation, production requirements, or these Terms.
Any additional or conflicting terms included in a customer’s purchase order or other document will not apply unless expressly accepted by Daye Porcelain in writing.
7. Product Specifications
Final product specifications must be confirmed in writing before mass production begins.
Specifications may include:
- Dimensions and weight
- Clay body or ceramic material
- Glaze color and surface finish
- Decoration, decal, printing, engraving, or logo placement
- Product structure and intended function
- Packaging configuration
- Testing and inspection standards
- Approved reference samples
- Permitted tolerances
Website photographs, digital renderings, catalogs, samples, prototypes, and color references are illustrative unless expressly incorporated into an approved specification.
8. Ceramic Variations and Manufacturing Tolerances
Ceramic manufacturing involves natural materials, kiln firing, glazing, decoration, and other processes that may result in reasonable variations between products and production batches.
Depending on the product and approved standard, reasonable variations may occur in:
- Color and glaze tone
- Surface texture and gloss
- Dimensions and weight
- Shape and alignment
- Decoration placement
- Small glaze marks, pinholes, iron spots, or firing characteristics
- Bottom finishing and contact surfaces
- Packaging appearance
Variations that fall within the approved sample, written specification, agreed quality standard, or commercially reasonable ceramic manufacturing tolerance will not automatically be considered defects.
Customers requiring especially narrow tolerances must communicate those requirements before quotation and sample approval.
9. Samples and Prototypes
Sample, prototype, development, mold, decoration, courier, and testing fees may apply.
Sample approval confirms the general design direction and manufacturing standard but does not guarantee that every production item will be visually identical to the sample.
Reasonable manufacturing variations may exist between:
- A prototype and mass production
- Handmade and machine-assisted products
- Different kiln loads
- Different production batches
- Digital colors and fired ceramic colors
Unless otherwise agreed in writing, sample fees, development fees, tooling fees, testing fees, and courier charges are non-refundable once the relevant work has begun.
10. Customer Approval
The customer is responsible for reviewing and approving all relevant project details before production, including:
- Product dimensions
- Materials and glaze colors
- Artwork, spelling, and logo placement
- Decoration and packaging designs
- Barcode or label information
- Shipping marks
- Compliance requirements
- Approved samples and specifications
Daye Porcelain is not responsible for errors contained in materials or approvals supplied or confirmed by the customer.
Changes requested after approval may result in additional charges, production delays, material waste, tooling adjustments, or the need to restart part of the development or production process.
11. Customer-Supplied Designs and Materials
Where a customer provides logos, artwork, drawings, photographs, product designs, packaging files, trademarks, instructions, or other materials, the customer represents and warrants that:
- It owns the materials or has permission to use them
- The materials do not infringe third-party rights
- The materials may lawfully be provided to Daye Porcelain
- Daye Porcelain may use the materials to evaluate and perform the project
The customer is responsible for claims, losses, or expenses arising from unauthorized, unlawful, misleading, or infringing customer-supplied materials.
12. Tooling, Molds, and Development Work
Ownership, storage, maintenance, modification, replacement, and permitted use of molds, tooling, screens, plates, dies, fixtures, models, or other development assets will be determined by the relevant quotation or written agreement.
Payment of a tooling or development fee does not automatically transfer ownership of all technical knowledge, manufacturing methods, internal production files, equipment, or background intellectual property used to create the product.
Unless otherwise agreed in writing, tooling may require repair or replacement after normal wear, prolonged storage, technical changes, or repeated production use.
We may charge reasonable storage, maintenance, modification, or replacement costs where applicable.
13. Minimum Order Quantities
Minimum order quantities may vary by product, material, decoration process, packaging method, and production schedule.
Any minimum order quantity shown on the website is indicative unless confirmed in a quotation or order confirmation.
Orders below the normal minimum quantity may be declined or may require adjusted pricing, development fees, material charges, or other conditions.
14. Prices, Currency, Taxes, and Charges
The applicable currency and price will be stated in the relevant quotation, pro forma invoice, or sales contract.
Unless expressly included in writing, prices may exclude:
- Taxes and value-added tax
- Import duties and tariffs
- Customs clearance charges
- Freight and delivery charges
- Insurance
- Destination handling charges
- Inspection and testing costs
- Bank or transaction charges
- Storage and demurrage charges
- Special documentation or certification costs
The customer is responsible for taxes, duties, charges, permits, and import requirements allocated to the customer under the agreed commercial terms.
15. Payment Terms
Payment terms will be specified in the applicable quotation, pro forma invoice, order confirmation, or sales contract.
Unless otherwise agreed in writing, Daye Porcelain is not required to begin sample development, purchase materials, reserve production capacity, begin mass production, release documents, or ship products until the required payment has been received.
The customer is responsible for ensuring that payment instructions are verified through an authorized Daye Porcelain contact.
Any change to payment details should be independently verified before payment is made. Daye Porcelain is not responsible for payments sent to an unauthorized account because of phishing, impersonation, compromised email, or failure to verify changed payment instructions, except to the extent caused directly by our proven misconduct.
Late payment may result in production suspension, shipment delay, order cancellation, storage charges, or other remedies permitted by the applicable agreement and law.
16. Production Schedule
Production times are estimates unless a specific deadline is expressly guaranteed in a signed written agreement.
Estimated production schedules normally begin only after all required conditions have been completed, including:
- Order acceptance
- Receipt of the required payment
- Approval of samples and specifications
- Approval of artwork and packaging
- Receipt of customer-supplied materials
- Confirmation of required testing or documentation
Production and delivery estimates may be affected by material availability, kiln schedules, technical issues, customer changes, testing, inspection, transport availability, public holidays, customs procedures, force majeure events, or other circumstances outside our reasonable control.
17. Changes and Order Cancellation
A customer may not change or cancel an accepted order without written approval from Daye Porcelain.
Where a change or cancellation is accepted, the customer may be responsible for costs already incurred, including:
- Design and development work
- Samples and prototypes
- Molds and tooling
- Raw materials
- Packaging materials
- Completed or partially completed products
- Testing and inspection
- Labor and production capacity
- Storage and logistics costs
- Third-party cancellation fees
Deposits and other payments may be non-refundable to the extent they are required to cover work completed, materials purchased, production reserved, or other costs incurred.
18. Packaging
Packaging will follow the approved specification or the commercial packaging standard stated in the order documents.
The customer must provide accurate packaging artwork, labels, warnings, barcodes, shipping marks, country-of-origin instructions, and market-specific information where these are the customer’s responsibility.
Unless expressly agreed in writing, Daye Porcelain does not guarantee that packaging designed or supplied by the customer complies with every legal, retail, environmental, transport, or labeling requirement in the destination market.
19. Shipping and Delivery
Shipping terms, delivery point, allocation of costs, customs responsibilities, insurance responsibilities, and transfer of risk will be determined by the applicable quotation, order confirmation, sales contract, and agreed trade term.
Where an Incoterms® rule is used, the applicable rule, named place or port, and version must be expressly stated in the relevant commercial document, for example:
FOB Shenzhen, Incoterms® 2020
A reference to a trade term without a named location or applicable version may require further written clarification.
Unless expressly agreed otherwise, delivery dates are estimates and Daye Porcelain is not responsible for delays caused by carriers, ports, customs authorities, inspections, shipping congestion, weather, destination handling, customer documentation, or other circumstances outside our reasonable control.
Partial shipments may be permitted where commercially reasonable or agreed in the order documents.
20. Transfer of Risk and Title
Risk of loss or damage will transfer in accordance with the agreed delivery term or written sales agreement.
Ownership of products may remain with Daye Porcelain until full payment has been received, to the extent permitted by applicable law and the relevant commercial agreement.
Transfer of ownership does not affect any intellectual property rights belonging to Daye Porcelain or a third party.
21. Inspection
The inspection method, inspection standard, acceptable quality level, sample size, testing requirements, and responsible party should be agreed before production or shipment.
Where third-party inspection is requested, the customer must communicate the requirements sufficiently in advance and may be responsible for the associated costs unless otherwise agreed.
Inspection approval does not release either party from obligations expressly stated in the applicable sales agreement.
22. Claims for Shortage, Damage, or Non-Conformity
The customer should inspect products promptly after delivery or receipt.
Any claim should be submitted within the period specified in the applicable sales contract, quotation, or order confirmation. If no period is specified, the claim should be submitted within a reasonable time after the issue is discovered.
Claims should include sufficient supporting information, such as:
- Order or invoice reference
- Product name and quantity affected
- Clear photographs or videos
- Packaging photographs
- Batch, carton, or shipping information
- A description of the alleged issue
- Inspection or testing reports where applicable
Products must not be destroyed, altered, repaired, resold, returned, or otherwise disposed of before Daye Porcelain has had a reasonable opportunity to review the claim, unless urgent action is legally required or agreed in writing.
Failure to provide reasonable evidence or preserve relevant products may affect our ability to investigate or resolve a claim.
23. Returns
Products may not be returned without prior written authorization from Daye Porcelain.
Custom-made, branded, decorated, specially packaged, customer-specific, or made-to-order products are generally not eligible for return solely because the customer changes its mind, over-orders, experiences lower-than-expected sales, or no longer requires the products.
Where a return is authorized, the applicable return procedure, destination, transport arrangement, responsibility for costs, inspection process, and remedy will be confirmed in writing.
24. Limited Product Warranty
Any product warranty will be limited to the warranty expressly stated in the applicable sales contract, quotation, specification, or order confirmation.
Unless otherwise agreed in writing, a warranty does not cover issues caused by:
- Normal ceramic variations within the approved standard
- Incorrect storage, handling, transport, installation, or use
- Impact, misuse, abuse, or accidental damage
- Use outside the product’s intended purpose
- Unauthorized modification or repair
- Customer-supplied designs, materials, or instructions
- Failure to follow care or use instructions
- Normal wear and tear
- Conditions occurring after risk has transferred to the customer
Where a valid claim is confirmed, the appropriate remedy may include repair, replacement, credit, refund, or another commercially reasonable solution, depending on the circumstances and the applicable written agreement.
25. Customer Compliance Responsibilities
Unless otherwise expressly agreed in writing, the customer is responsible for determining whether the products are suitable and legally compliant for the customer’s intended purpose and destination market.
This responsibility may include:
- Import requirements
- Food-contact requirements
- Product safety requirements
- Labeling and warning requirements
- Packaging regulations
- Environmental requirements
- Retailer-specific standards
- Trademark and design rights
- Testing and certification requirements
Daye Porcelain will provide reasonable cooperation regarding agreed product information, documentation, samples, or testing, subject to technical availability, timing, cost, and written agreement.
26. Intellectual Property
Unless otherwise stated, the website and its content are owned by or licensed to Daye Porcelain.
Protected content may include:
- Text and written materials
- Photographs and videos
- Graphics and website designs
- Logos and trademarks
- Product presentations
- Technical information

- Website software and page layouts
You may view the website and download publicly available materials for legitimate internal business evaluation.
You may not copy, reproduce, modify, republish, distribute, sell, scrape, reverse engineer, commercially exploit, or create derivative works from website content without prior written permission.
No use of the website grants you ownership of any Daye Porcelain intellectual property.
27. Product Development Intellectual Property
Ownership of intellectual property created during a custom development project will be determined by the relevant written agreement.
Unless expressly transferred in writing, Daye Porcelain retains ownership of its pre-existing and independently developed:
- Manufacturing methods
- Production processes
- Technical knowledge
- Quality-control methods
- Internal templates
- Factory systems
- General tooling concepts
- Background intellectual property
Payment for products, samples, or development does not automatically transfer intellectual property rights unless the transfer is expressly stated in a written agreement.
28. Confidential Information
Each party should use reasonable care when handling confidential commercial, technical, design, pricing, or project information received from the other party.
Confidential information does not include information that:
- Is publicly available without breach of an obligation
- Was lawfully known before disclosure
- Is received lawfully from another source
- Is independently developed without using the confidential information
- Must be disclosed by law or competent authority
These Terms do not replace a separately signed non-disclosure or confidentiality agreement. Where a separate agreement exists, that agreement will govern the matters it covers.
29. Portfolio and Project References
Daye Porcelain will not intentionally disclose a customer’s confidential product design or unpublished project information in public marketing materials without appropriate permission.
Use of customer names, trademarks, branded products, project photographs, testimonials, or case-study information will be subject to permission where required.
30. Acceptable Website Use
You must not use the website to:
- Violate any applicable law or regulation

Such excluded losses may include loss of profit, revenue, opportunity, goodwill, data, anticipated savings, or business interruption.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Liability arising from a specific product order will be governed by the applicable quotation, order confirmation, sales contract, warranty terms, and mandatory law rather than by general website information alone.

Daye Porcelain may refuse, suspend, or cancel a transaction where reasonably necessary to comply with applicable laws, banking requirements, carrier restrictions, export controls, or sanctions.

If a dispute relating specifically to these website Terms cannot be resolved through discussion, it will be submitted to a competent court at the registered location of Daye Porcelain, unless mandatory law or a separate written agreement requires otherwise.
Disputes relating to a specific manufacturing order, sales contract, shipment, payment, or product claim will be resolved according to the dispute-resolution clause in the applicable commercial agreement.
41. Order of Precedence
If there is a conflict between these general website Terms and a separately agreed commercial document, the following order will normally apply:
- A signed sales, manufacturing, development, or confidentiality agreement
- A written order confirmation or accepted purchase agreement
- An accepted quotation or pro forma invoice
- An approved written product specification
- These website Terms
- General website content
A document will take priority only for the matters it specifically addresses.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.
43. No Waiver
A failure or delay by Daye Porcelain to enforce any provision of these Terms does not waive the right to enforce that provision or any other provision later.
